By selecting “I Agree” you (“Recipient”) acknowledge and agree to the following with respect to the materials presented on this site, including the business plan, pitch deck, product demonstration videos, financial projections, product information, customer and pricing information, and any related discussions (together, the “Confidential Information”) provided by ProcureForce, Inc. (“ProcureForce”).
- Confidentiality. Recipient will hold the Confidential Information in strict confidence and will not disclose it to any third party without ProcureForce’s prior written consent, except to Recipient’s legal, tax, or financial advisors who need to know it and are bound by duties of confidentiality at least as protective as these.
- Limited purpose. Recipient will use the Confidential Information solely to evaluate a potential investment in or business relationship with ProcureForce, and for no other purpose.
- No copies. Recipient will not download, screenshot, photograph, screen-record, copy, reproduce, or distribute the Confidential Information, in whole or in part.
- Exclusions. These obligations do not apply to information that is or becomes public through no fault of Recipient, was lawfully known to Recipient before disclosure, is independently developed without use of the Confidential Information, or is required to be disclosed by law (with prompt notice to ProcureForce where legally permitted).
- No license or obligation. All Confidential Information remains the property of ProcureForce. Nothing here grants any license or rights, or obligates either party to enter into any transaction.
- Not an offer. These materials are provided for information only and do not constitute an offer to sell, or a solicitation of an offer to buy, any security. Any offering will be made only through definitive documents. Projections are forward-looking estimates and are not guarantees of future results.
- Term. These obligations survive for two (2) years from the date of acceptance.
- Record of acceptance. Recipient consents to ProcureForce recording the name, email address, and time of acceptance entered below, and agrees that selecting “I Agree” constitutes Recipient’s electronic signature.
